Introduction

These Terms and Conditions ("Terms") govern your engagement with Kelly's Accurate Bookkeeping Service, LLC ("we," "us," "our," or the "Company"), a Colorado limited liability company providing virtual bookkeeping services. By signing an engagement agreement, submitting a service inquiry, accessing our website at www.kellysaccuratebookkeeping.net, or using any of our services, you ("Client," "you," or "your") agree to be bound by these Terms.

Please read these Terms carefully before engaging our services. If you do not agree to these Terms, do not engage our services or use our website.

1. Scope of Services

1.1 Services Provided

Kelly's Accurate Bookkeeping Service, LLC provides virtual bookkeeping services, which may include: transaction categorization and recording, bank and credit card account reconciliation, accounts payable and receivable tracking, monthly/quarterly/annual financial report preparation (P&L, Balance Sheet, Cash Flow), chart of accounts setup and maintenance, payroll processing coordination, software setup and cleanup (QuickBooks Online, Wave, FreshBooks), and general financial organization.

The specific services, frequency, and deliverables will be detailed in your signed Engagement Letter or Service Agreement.

1.2 Scope Limitations

We are bookkeepers, not CPAs or tax preparers. Our services do not include: tax preparation, tax filing, or tax advice; legal advice or legal document preparation; financial planning or investment advice; audit services; or payroll tax filing (unless specifically contracted). Questions requiring a CPA, attorney, or financial advisor will be referred to the appropriate professional.

1.3 Client Responsibilities

To enable accurate and timely bookkeeping services, you agree to: provide access to all relevant financial accounts and records in a timely manner; notify us promptly of any changes to your business structure or accounts; review and approve financial reports within specified timeframes; respond to requests for clarification within a reasonable time; and maintain your own backup copies of all financial records provided to us.

2. Engagement and Onboarding

2.1 Starting Services

Services commence upon execution of the Engagement Letter and receipt of any required initial payment or deposit. We reserve the right to decline any engagement at our sole discretion.

2.2 Software Access

Where services require access to your accounting software (e.g., QuickBooks Online), you agree to provide us with appropriate user access. You remain the account owner and are responsible for managing user permissions. We will use access solely for the purpose of performing contracted services.

2.3 Document Collection

You may be required to provide historical financial records, bank statements, and other documents at the start of the engagement. Failure to provide required documents in a timely manner may delay commencement of services or result in additional fees.

3. Payment Terms

3.1 Fees

Fees for services are set forth in your Engagement Letter. Fee structures may include a Monthly Retainer (fixed monthly fee for ongoing services), Project-Based Fees (flat fee for defined one-time projects such as catch-up bookkeeping), or Hourly Rates (for services outside the standard scope).

3.2 Invoicing and Payment Due Dates

Invoices are issued monthly (for retainer clients) or as agreed in the Engagement Letter. Payment is due within 15 days of the invoice date unless otherwise specified in writing.

3.3 Late Payments

Invoices not paid within 15 days of the due date are subject to a late fee of 1.5% per month (18% annually) on the outstanding balance, or the maximum rate permitted by Colorado law, whichever is lower. We reserve the right to suspend services for accounts with outstanding balances past 30 days.

3.4 Payment Methods

We accept payment by ACH bank transfer, credit or debit card (via payment processor), and check (as agreed in writing).

3.5 Disputed Invoices

If you dispute any portion of an invoice, you must notify us in writing within 10 days of the invoice date, specifying the nature of the dispute. Undisputed portions must be paid by the due date. We will work in good faith to resolve billing disputes promptly.

3.6 Price Adjustments

We reserve the right to adjust our fees with 30 days' written notice. If you do not agree to a fee adjustment, you may terminate the engagement without penalty.

4. Confidentiality

4.1 Our Obligations

We acknowledge that we will have access to sensitive and confidential financial information about your business. We agree to hold all client financial information in strict confidence; use your information solely for providing contracted services; not disclose confidential information to any third party without your express written consent (except as required by law); and implement reasonable security measures to protect your information.

4.2 Your Obligations

You agree to maintain the confidentiality of any proprietary methods, processes, templates, or systems provided by Kelly's Accurate Bookkeeping Service, LLC, and not to share or distribute such materials without our written consent.

4.3 Survival

Confidentiality obligations survive the termination of this agreement for a period of five (5) years from the date of termination, or as long as the information remains confidential, whichever is longer.

5. Limitation of Liability

5.1 Our Liability is Limited

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KELLY'S ACCURATE BOOKKEEPING SERVICE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5.2 Maximum Liability Cap

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

5.3 Accuracy of Information

Our services are only as accurate as the information you provide. We are not liable for errors or omissions that result from: incomplete, inaccurate, or untimely information provided by you; your failure to notify us of relevant business changes; or software errors or platform outages beyond our control.

5.4 No Guarantee of Tax Outcomes

We make no representations or warranties regarding tax liability, tax outcomes, or the results of any tax examination or audit. Tax filings remain the responsibility of you and your CPA or tax preparer.

5.5 Third-Party Platforms

We are not responsible for errors, outages, or data loss caused by third-party software platforms (e.g., QuickBooks, Wave, banks) or internet service providers.

6. Term and Termination

6.1 Term

This agreement commences on the date of the signed Engagement Letter and continues month-to-month unless otherwise specified therein.

6.2 Termination by Either Party

Either party may terminate the engagement with 30 days' written notice to the other party. Notice may be provided by email to the addresses specified in the Engagement Letter.

6.3 Termination for Cause

We reserve the right to terminate services immediately, without notice, if: you fail to pay outstanding invoices after 30 days past due; you engage in fraudulent, illegal, or unethical activity; continued engagement would require us to violate applicable professional or legal standards; or you breach any material term and fail to cure the breach within 10 days of written notice.

6.4 Effect of Termination

Upon termination: all fees for services rendered through the termination date become immediately due and payable; we will provide you with copies of completed financial reports and organized records; we will revoke our access to your accounting software accounts within 5 business days; and your confidentiality obligations under Section 4 remain in effect.

6.5 Outstanding Balances

You remain responsible for all fees incurred through the termination date. We are not required to deliver final deliverables until all outstanding balances are paid.

7. Intellectual Property

7.1 Client's Financial Records

All financial data, records, and documents you provide remain your property. We claim no ownership over your business's financial information.

7.2 Our Work Product

Financial reports, analyses, and deliverables created by us specifically for you are provided for your sole use in connection with the contracted services.

7.3 Our Proprietary Materials

Our templates, methodologies, workflows, and software tools are proprietary to Kelly's Accurate Bookkeeping Service, LLC. You may not copy, reproduce, or distribute these without our written consent.

8. Independent Contractor Relationship

We provide services as an independent contractor. Nothing in these Terms shall be construed to create an employer-employee relationship, partnership, joint venture, or agency relationship between you and Kelly's Accurate Bookkeeping Service, LLC. We retain the right to determine the methods and means by which we perform the contracted services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kelly's Accurate Bookkeeping Service, LLC, its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: your breach of these Terms; your provision of inaccurate or incomplete financial information; your violation of any applicable law or regulation; or any third-party claims related to your business operations.

10. Force Majeure

We will not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure is caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, government action, internet outages, software platform failures, or other events outside our control. We will notify you promptly of any such event and resume performance as soon as reasonably practicable.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Before initiating any formal legal proceeding, both parties agree to attempt in good faith to resolve any dispute through direct negotiation. If direct negotiation fails, the parties agree to non-binding mediation conducted in Larimer County, Colorado (or a mutually agreed virtual location) before pursuing arbitration or litigation.

11.3 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Larimer County, Colorado. Both parties consent to the personal jurisdiction of such courts.

12. Entire Agreement; Amendments

These Terms, together with the signed Engagement Letter, constitute the entire agreement between you and Kelly's Accurate Bookkeeping Service, LLC regarding the subject matter hereof and supersede all prior agreements, understandings, or representations. These Terms may be amended by us with 30 days' written notice. Your continued use of our services after the effective date of any amendment constitutes your acceptance of the amended Terms.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Kelly's Accurate Bookkeeping Service, LLC.

5. Data Retention

Active Client Records: Retained for the duration of our engagement and for a minimum of seven (7) years following termination of services, as required by applicable tax and financial recordkeeping laws.

Prospective Client Inquiries: Retained for up to two (2) years from the date of inquiry if no engagement is initiated.

Website Usage Data: Retained for up to two (2) years.

Upon the expiration of applicable retention periods, we will securely destroy or anonymize your information.
